How to look up an Oklahoma company with the Secretary of State search, check a name and form an LLC.

An Oklahoma business entity search is done with the Business Entity Search on the Oklahoma Secretary of State website. The Secretary of State keeps the filings for corporations, LLCs, limited partnerships, trade names and other entities, and the search lets anyone look up a company's record for free. Oklahoma also runs a separate Business Name Availability Search, which is the better tool when you are choosing a name for a new company.

How to search Oklahoma businesses

  1. Open the Oklahoma Business Entity Search.
  2. Enter the business name. Leave off "LLC" or "Inc" and start with the most distinctive words.
  3. If you have the filing number from a document or invoice, search by that instead for an exact match.
  4. Open the result to see the entity details: type, status, filing date, registered agent and the filing history.
  5. If you need official proof, order a certificate or copies from the Secretary of State's business entity orders service.

When you register a business, Oklahoma gives it a Secretary of State filing number. That number appears on the copy of the registration the owner receives, and it is the cleanest way to find the same record again.

Reading the results

The status tells you whether the entity is in existence and current with the state. An Oklahoma LLC must pay an annual certificate fee every year to stay active and in good standing. A company that skips it can fall out of good standing, and over time can lose its active status. If the record shows anything other than an active, current status, ask the company to explain before you sign a contract or lend money.

The registered agent shown in the record is the person or company that accepts legal papers in Oklahoma. Use that name and address when you need to serve notice.

Checking name availability

Use the Business Name Availability Search rather than the general entity search. It is built to show whether a proposed name conflicts with names already on file. The final answer comes when your filing is reviewed.

If the name is free and you want to hold it, Oklahoma lets you reserve a name for up to 60 days. A reservation is not a registration; it just keeps others from taking the name while you prepare. For the reservation fee, see the official fee schedule. Still choosing? Our business name generator can give you options to test.

Good standing certificates and copies

Lenders, banks and other states often ask for a certificate of good standing. In Oklahoma you request it through the Secretary of State's online orders service for business entities. You can also order copies of filed documents there. For the current cost of each item, see the official Secretary of State fee schedule.

Trade names

A business that operates under a name other than its legal name can register a trade name with the Secretary of State. According to the state's register your business page, a trade name registration has no annual fee or tax. Because trade names are filed with the state, they can turn up in the entity search alongside companies.

Forming an LLC in Oklahoma

  1. Check the name with the availability search and reserve it if needed.
  2. Choose a registered agent with an Oklahoma address.
  3. File Articles of Organization with the Secretary of State. You can file online or on paper. The state lists the registration cost as $100, plus a service fee when you file online.
  4. Keep the copy of your registration. It shows your Secretary of State filing number.
  5. Pay the $25 annual certificate fee each year to keep the LLC active and in good standing. It is due around the anniversary of your filing date.
  6. Register with the Oklahoma Tax Commission if you will collect sales tax or have employees.

Oklahoma is one of the cheaper states to keep an LLC in. Even so, set a calendar reminder for the annual certificate, because a missed payment is the most common reason a small Oklahoma LLC falls out of good standing. Our business plan template and guide on how to start a business cover the rest of the setup.

Common problems

  • Name not found: Try fewer words, check spelling, or search by filing number. Sole proprietors with no trade name will not appear.
  • Name shows as available but filing is rejected: Someone else may have filed first. Reserve the name if you are not ready.
  • Company not in good standing: Most often the annual certificate was not filed. It can usually be brought current.
  • Looking for a city license: Local business licenses are kept by cities and counties, not the Secretary of State.
